Terms of Service

Welcome to PicStashio. These Terms of Service ("Terms") are a legally binding agreement between you ("you" or "your") and Event Photo Share Inc., a Colorado corporation ("PicStashio," "we," "us," or "our"). They govern your access to and use of the PicStashio website at picstash.io and the PicStashio application (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service. Please read these Terms carefully before using PicStashio.

1. Eligibility

You must be at least 18 years of age to create an account or purchase a plan on PicStashio. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

Guests of any age may upload photos and videos to an event at the invitation of the event creator ("Host"). The Host is responsible for ensuring that guest participation complies with applicable laws.

2. Account Registration

To use certain features of the Service, you may need to create an account. You agree to provide accurate, complete, and current information during registration and to keep your account information up to date. We may require you to verify the email address associated with your account. You cannot claim a free Stash until that address is verified.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@picstash.io if you become aware of any unauthorized use of your account.

3. The Service

PicStashio provides a platform for collecting and sharing photos and videos from events. Hosts create a "Stash" (an event container) and share a QR code with guests, who can upload photos and videos without downloading an app or creating an account.

Key features of the Service include:

• Creation and management of event Stashes with unlimited albums
• QR code-based photo and video upload for guests, with no app and no guest account
• Private galleries, with a PIN included in the QR code and share links
• Full-quality photo and video downloads, including a zip archive of the gallery that remains yours to keep
• Real-time slideshow display
• Automatic content moderation; hosts may delete any upload, and guests may delete anything they uploaded themselves
• Custom event pages, QR signs, and gallery controls

4. Plans and Pricing

PicStashio offers two plans. The free plan ("Snack") includes 75 photo and video uploads you can download at full quality (one video counts as one upload). Guests are never blocked from uploading; media past that allowance stays locked for download until you upgrade. The paid plan ("Feast") includes unlimited uploads, subject to the fair-use policy in Section 4.5. Every product feature is available on both plans. Both include unlimited time to set up your Stash, then a one-year upload window (the "Stash Period") beginning on your Activation Date. Plan details and pricing are displayed on our pricing page and may be updated from time to time.

4.1 Free Stashes

Each account may have only one active free Stash at a time. A free Stash is active until it expires, is upgraded to the paid plan, is deleted, or you purchase an Upload Window extension for it. A free Stash expires for this purpose one year after its Activation Date, even if a download grace period remains as described in Section 10. If you purchase an Upload Window extension on a free Stash, that Stash remains online for the purchased window, but it is no longer an active free Stash. Once a free Stash is no longer active, you may claim another. Claiming a free Stash requires verifying the email address on your account, as described in Section 2.

4.2 One-Time Purchase

The paid plan is a one-time purchase. There are no recurring subscriptions, we do not keep a payment method on file for future charges, and there is nothing to cancel. Your purchase grants you a Stash with unlimited uploads and a one-year Stash Period.

4.3 Stash Period and Activation Date

You may set up your Stash for an unlimited time before it goes live. Guests cannot upload until your Activation Date, which defaults to your event date. You may set an earlier Activation Date if you want guests to upload before the event. The Stash Period is the one-year upload window during which your Stash remains online and guests may upload. It begins on the Activation Date and is the same on both plans. You may extend your Stash Period at any time by purchasing the Upload Window extension add-on, which extends the upload window on a per-year basis. The Upload Window extension is optional and never renews or charges automatically.

4.4 Upgrades

You may upgrade from the free plan to the paid plan at any time. Uploads to a free Stash are never blocked: guests can always upload. Extra photos stay in the gallery and live slideshow. Videos stay in the gallery. Media beyond the 75-upload allowance is locked for download until you upgrade, and is retained for the duration of your Stash Period. After you upgrade, you may download the archive again to include the rest at full quality.

4.5 Fair Use

"Unlimited uploads" means we do not count or cap the photos and videos your guests upload to your event, and we never block an upload. It is subject to fair use: Stashes are intended for hosting the memories of your event, not for general-purpose file backup, commercial media archiving, or redistribution of content unrelated to your event. We may contact you if a Stash's usage indicates it is not being used for an event.

4.6 Price Changes

We reserve the right to change our pricing at any time. Price changes will not affect plans that have already been purchased. Any new pricing will apply only to future purchases.

5. Payments and Refunds

5.1 Payment Processing

All payments are processed securely through Stripe. By making a purchase, you agree to Stripe's Terms of Service. We do not store your credit card number or keep a payment method on file for future charges.

5.2 Refund Policy

We offer a 14-day money-back guarantee on paid-plan purchases. If you are not satisfied, you may request a full refund within 14 days of purchase by contacting us at support@picstash.io. Refunds will be issued to the original payment method.

After the 14-day refund window has passed, all purchases are final and non-refundable. Upload Window extensions are non-refundable once applied to your Stash.

6. User Content

6.1 Ownership

You retain all ownership rights and copyright in the photos, videos, and other content you upload to the Service ("User Content"). PicStashio does not claim any ownership of your User Content.

6.2 License to PicStashio

By uploading User Content to the Service, you grant PicStashio a limited, non-exclusive, royalty-free license to host, store, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the Service to you and your event participants. This license exists only for as long as your User Content remains on the Service and terminates when your content is deleted.

We will not use your User Content for marketing, advertising, machine learning training, or any purpose other than providing the Service to you.

6.3 Responsibility for Content

You are solely responsible for your User Content, including its legality, reliability, and appropriateness. By uploading content, you represent and warrant that:

• You own the content or have the necessary rights and permissions to upload it
• Your content does not infringe the intellectual property rights, privacy rights, publicity rights, or other rights of any third party
• Your content does not violate any applicable law or regulation

6.4 Content Moderation

PicStashio uses automated content moderation to detect and filter offensive or inappropriate material before it reaches the gallery. We reserve the right, but have no obligation, to review, remove, or disable access to any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

Hosts may delete any User Content from their Stash at any time. Guests may delete content they uploaded themselves.

7. Acceptable Use

You agree not to use the Service to:

• Upload, share, or distribute content that is unlawful, defamatory, obscene, pornographic, harassing, threatening, hateful, or otherwise objectionable
• Infringe upon the intellectual property, privacy, or other rights of any third party
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Distribute viruses, malware, or any other harmful or destructive code
• Attempt to gain unauthorized access to the Service, other user accounts, or any related systems or networks
• Use the Service for any commercial purpose not expressly permitted, including reselling access to the Service
• Use automated means (bots, scrapers, crawlers) to access or collect data from the Service without our written permission
• Interfere with or disrupt the Service or the servers and networks connected to the Service
• Use the Service in any manner that could damage, disable, overburden, or impair the Service
• Violate any applicable local, state, national, or international law or regulation

We reserve the right to suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms.

8. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality — including but not limited to the website design, logos, text, graphics, software, and code — are and will remain the exclusive property of Event Photo Share Inc. and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

The PicStashio name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Event Photo Share Inc. You may not use these marks without our prior written permission.

9. Copyright Infringement (DMCA)

We respect the intellectual property rights of others. If you believe that any content on the Service infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing our designated agent with the following information in writing:

• A physical or electronic signature of the person authorized to act on behalf of the copyright owner
• A description of the copyrighted work that you claim has been infringed
• Identification of the material on the Service that you claim is infringing, with sufficient detail for us to locate it
• Your contact information (address, phone number, email)
• A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law
• A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf

Upon receipt of a valid DMCA notice, we will take appropriate action, which may include removing or disabling access to the allegedly infringing content.

10. Stash Period and Data Deletion

Your Stash remains online for the duration of your Stash Period (the one-year upload window beginning on your Activation Date on both plans, unless extended). After that window, the gallery comes down and the link retires, except as described below.

We will email you before your Stash Period ends so you can download a full-quality archive of the gallery. Those downloaded files are yours to keep. When the Stash Period ends, we provide a 90-day grace period during which you may still download your content or purchase an Upload Window extension. If you do not take action within the grace period, your photos, videos, and event data will be permanently and irreversibly deleted.

You may request deletion of your content and account at any time by contacting us at support@picstash.io. We will process deletion requests within 30 days.

You are responsible for maintaining your own backup copies of any content uploaded to the Service. PicStashio is not responsible for any loss of content after your Stash Period and grace period have expired.

11. Third-Party Services

The Service integrates with and relies on third-party services, including Stripe (payments), Google Cloud Platform (storage), and Vercel (hosting). Your use of these third-party services is subject to their respective terms and privacy policies.

The Service may contain links to third-party websites or services that are not owned or controlled by PicStashio. We are not responsible for the content, privacy policies, or practices of any third-party websites or services.

12. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied.

To the fullest extent permitted by applicable law, PicStashio disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

PicStashio does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee the accuracy, reliability, completeness, or timeliness of any content available through the Service.

You use the Service at your own risk. You are solely responsible for any damage to your device or loss of data that results from your use of the Service.

13. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Event Photo Share Inc., its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of photos or videos, business interruption, or personal injury, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid to PicStashio in the 12 months preceding the event giving rise to the claim, or $100 USD, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Event Photo Share Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of any third party, including intellectual property or privacy rights

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at support@picstash.io and attempt to resolve the dispute informally for at least 30 days.

15.2 Binding Arbitration

If we cannot resolve a dispute informally, you and PicStashio agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be conducted in the State of Colorado or at another mutually agreed location. The arbitrator's decision shall be final and binding.

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against PicStashio.

15.4 Exceptions

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court's jurisdiction. Either party may also seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction of the state and federal courts located in Colorado.

17. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, if we reasonably believe you have violated these Terms or if required by law.

You may terminate your account at any time by contacting us at support@picstash.io. Upon termination, your right to use the Service will cease immediately.

The following sections survive termination: User Content (Section 6), Intellectual Property (Section 8), Disclaimer of Warranties (Section 12), Limitation of Liability (Section 13), Indemnification (Section 14), Dispute Resolution (Section 15), and Governing Law (Section 16).

18. For European Union Users

If you are a consumer in the European Union, you will benefit from any mandatory provisions of the law of the country in which you reside. Nothing in these Terms affects your rights as a consumer under applicable EU law, including mandatory consumer protection regulations that cannot be waived by contract.

19. Severability

If any provision of these Terms is held to be invalid, unenforceable, or illegal, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

20. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by PicStashio to be effective.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PicStashio regarding your use of the Service and supersede all prior and contemporaneous agreements, understandings, and communications, whether written or oral.

22. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page and, where required by law, notify you by email or through the Service. Material changes will take effect no sooner than 30 days after notice is provided.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, please stop using the Service.
